Vault Keeper Terms and Conditions

The Platform is a software infrastructure that enables third parties to independently deploy and administer Games. Provider does not create, operate, manage, supervise, endorse, or promote any individual Game and plays no role in determining Game configurations, Game rules, prize outcomes, Player communications, or pricing policies. Provider has no control or custody over Prize Vault funds, private keys associated with Game wallets, or any smart contract used by a Game. Provider is not a promoter, sponsor, fiduciary, escrow agent, financial intermediary, or broker of any Game or any funds used or distributed in connection with gameplay. All Games are exclusively controlled by their respective Game Operators.

Game Operators bear full and exclusive responsibility for the configuration and lawful operation of their Games. They are required to set Game start and end times, establish Epoch durations, determine minimum and maximum message-cost bands, provide any Game backstory or supplemental rules visible to Players, and configure all smart contracts used in connection with their Game. Operators must securely hold and control access to any encrypted private keys associated with AI Persona wallets used in their Games, subject to the restriction that Operators cannot unilaterally sweep or withdraw funds locked in the Prize Vault smart contract unless and until the Platform initiates and authorizes such actions according to the Game's established rules. Operators acknowledge that Provider does not hold, access, or recover private keys and accepts no responsibility for any loss, compromise, or misuse of those keys. Operators assume full liability for key mismanagement, wallet security failures, or any unauthorized access related to their systems.

At the moment a Game is created, the Persona internally designates a specific Epoch in which the Prize may be more easily released, and the same Epoch serves as the Epoch in which the Prize must ultimately be released. If no Player interacts during that required Epoch, the Persona will award the Prize to the Player who most recently interacted, even if such interaction took place in a prior Epoch. An Operator may alternatively configure a Game mode in which the Persona is permitted to reward multiple Players or groups simultaneously, according to its autonomous evaluative logic. It is the Operator's obligation to clearly disclose the applicable mode prior to the commencement of gameplay. In all cases, the Persona's decisions are autonomous, final, and not subject to appeal or modification.

Game Operators are solely responsible for ensuring that their Games comply with all applicable laws, regulations, and jurisdictional requirements, including those relating to digital assets, skill competitions, consumer protections, disclosures, and data handling. Operators are exclusively liable for disputes with Players, for any misconfiguration or malfunction of smart contracts, and for any loss, operational fault, or Game-level error. Operators agree to indemnify Provider, without limitation, for any claim, loss, liability, regulatory action, or dispute arising from the creation or operation of their Game, all as further described in Section 12.

5.1 Players must connect a compatible blockchain wallet and fund that wallet with the cryptocurrency required by the Game Operator for message spending. All transactions occur exclusively on-chain, are final when submitted, and are non-refundable. Players understand that messages will not be received or processed by the Persona unless the required message cost is confirmed on-chain.

5.2 Players acknowledge that message prices dynamically increase or decrease based on activity in prior Epochs. All payments made during gameplay are final, and Provider does not reverse or credit failed, duplicate, or erroneous Player transactions. Players agree that all determinations made by the Persona, including message scoring, judgment of persuasiveness, winner selection, and prize allocations, are final and cannot be overridden, reversed, or modified by the Operator or Provider. Players also acknowledge that any winnings will be transferred solely to the last wallet address used by them for message submissions.

5.3 If a Game is paused by a Game Operator, the Operator has the right to resume the Game at their sole discretion and is responsible for communicating the reason for the pause to Players. If a Game is cancelled by the Operator, cumulative Player contributions will automatically roll over into the next Game offered by that Operator. Players expressly accept the risks inherent in Operator actions, including pauses, resumptions, cancellations, or operational changes.

5.4 Players assume all risks associated with cryptocurrency volatility; blockchain transaction delays or failures; smart-contract malfunctions; unpredictable AI Persona behavior; the loss of funds or failure to win a Prize; device, network, or system malfunctions; and mismanagement or misconduct by Game Operators.

Players participate by submitting on-chain, paid messages to the Persona, which autonomously evaluates those messages using internal decision logic. The Prize is released according to the Persona's autonomous determination within the designated Epoch or, failing interaction in that Epoch, to the last Player who previously interacted. If multi-winner mode is selected, the Persona may split or distribute Prizes among several Players or groups. All Prize distributions proceed directly on-chain and are final and irreversible.

All blockchain transactions submitted by Players or Operators are final and cannot be reversed. Provider does not guarantee transaction success, speed, network availability, or the accuracy or reliability of any third-party blockchain infrastructure. Users accept full responsibility for the risks associated with distributed ledger technologies, including network congestion, high gas fees, latency, forks, or transaction failure.

The Platform is provided strictly on an "AS IS" and "AS AVAILABLE" basis. Provider disclaims all warranties, whether express or implied, including any warranties of merchantability, fitness for a particular purpose, non-infringement, uptime, uninterrupted availability, accuracy of data or AI outputs, or reliability. No communication from Provider shall create any warranty or representation not expressly stated in these Terms.

Provider has no involvement in prize distribution, management of Game wallets, execution or security of smart contracts, evaluation of Player messages, fairness of Games, or resolution of disputes between Operators and Players. Provider bears no responsibility for any loss, theft, misallocation, or mismanagement of Game funds and assumes no liability for Game performance, Game outcomes, or any Player or Operator actions.

Users may not engage in any attempt to hack, exploit, or manipulate the Persona, Platform, or any smart contracts; reverse-engineer, tamper with, or degrade the Platform's functionality; attempt to gain unauthorized access to any wallet or private key; or use the Platform for any illegal, fraudulent, or harmful purpose.

To the fullest extent permitted by law, Provider shall not be liable for any indirect, consequential, incidental, exemplary, special, or punitive damages, including but not limited to damages for lost profits, lost data, system outage, smart-contract malfunction, misjudged Persona output, downtime, delays, or technical failures. Provider's total cumulative liability arising from or related to the Platform shall not exceed the amount of ten U.S. dollars (USD $10), regardless of the nature of the claim or number of claimants.

12.1 Game Operators agree to indemnify, defend, and hold Provider harmless from all claims, liabilities, damages, losses, costs, and expenses, including legal fees, arising from or relating to their Game's configuration, operation, or administration; any mismanagement of wallets or private keys; any regulatory or legal non-compliance; any improper or erroneous prize distribution; and any dispute involving a Player.

12.2 Players likewise agree to indemnify and hold Provider harmless from any claim arising from their gameplay activities, wallet usage, interactions with smart contracts, or misuse of the Platform. This obligation extends to claims arising from blockchain losses, unauthorized access, or any violation of these Terms.

Provider may revise or update these Terms at any time, and any continued use of the Platform after such modifications constitutes acceptance of the revised Terms. It is the responsibility of Users to review the most current version.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction designated by Provider, without regard to its conflict-of-law principles.

These Terms constitute the entire agreement between Users and Provider relating to access to and use of the Platform and supersede any prior understanding or agreement, written or oral, relating to the subject matter herein.

In jurisdictions within the United States, Games offered through the Platform are structured as skill-based interactions in which outcomes are determined by the autonomous evaluative judgment of the AI Persona rather than by chance. Neither the Provider nor the Platform introduces any randomized or lottery-based mechanisms. Nonetheless, Players and Operators bear responsibility for adhering to any state or federal restrictions applicable to digital competitions or skill-based gaming.

Within the European Union, processing of personal data by the Provider is conducted pursuant to legitimate interests necessary for the operation of the Platform and the performance of contractual obligations between the Provider, Operators, and Players. Users have rights to access, rectify, erase, or port their data, subject to the limitations imposed by blockchain immutability. Appropriate safeguards are employed for any international data transfers.

Within Singapore, the collection and processing of gameplay and wallet-related data is performed in accordance with the Personal Data Protection Act (PDPA). Users consent to the collection of necessary gameplay data, are entitled to notification in the event of any data breach meeting statutory thresholds, and may contact the Provider's appointed PDPA representative regarding any privacy-related inquiry or request.

The Provider acts as the data controller for information processed through the Platform.

The Platform collects and processes limited categories of data, including blockchain wallet addresses, transaction identifiers, message content submitted to the Persona, device metadata, and gameplay metrics necessary for the operation, security, and performance of the Platform. This information is used to facilitate gameplay, validate and record blockchain transactions, enhance AI performance, and secure the Platform. The Provider does not and will never collect, store, or request private keys, seed phrases, or other sensitive authentication credentials. Users may request access to or deletion of their data where applicable law provides such rights; however, on-chain transactions and blockchain-recorded data cannot be deleted or altered due to the immutable nature of blockchain technology. Users also acknowledge that all blockchain activity is inherently public and can be viewed by any third party.

Users acknowledge that participation in any Game carries significant risks inherent to blockchain-based systems and AI-driven interactions. Cryptocurrency values may fluctuate rapidly and unpredictably, and the cost of message interactions may increase or decrease sharply from one Epoch to another. Blockchain transactions may be delayed, rejected, or fail for reasons beyond the Provider's control, and smart contracts may contain vulnerabilities or behave in unintended ways. The autonomous behavior of the AI Persona may be unpredictable, and no guarantee exists that a Player will win any Prize regardless of time spent, money spent, or strategy used. All transactions made during gameplay are final, irreversible, and processed directly on the blockchain. Users agree that they participate entirely at their own risk and that the Provider is not liable for any financial loss, technical malfunction, failed transaction, system error, or outcome produced by the AI Persona or the underlying smart contracts.
